Terms of Use & Legal Agreement - Kickoff

PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE ACCESSING OR USING THE KICKOFF MOBILE APPLICATION, ASSOCIATED WEBSITES, OR SERVICES (COLLECTIVELY, THE “SERVICE” OR “APP”). BY ACCESSING, DOWNLOADING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, DO NOT DOWNLOAD, INSTALL, OR USE THE SERVICE.

1. Description of Service

Kickoff is a software application designed solely to facilitate informal, recreational communication and coordination among individuals interested in organizing pickup soccer games. Features include game scheduling, RSVP management, tactical squad formations (5v5 to 11v11), deterministic lineup merging, and post-game MVP voting.

KICKOFF IS SOLELY A SOFTWARE PROVIDER. Kickoff is NOT a sports league, club, venue operator, insurer, employer, coach, referee, medical advisor, or event host. Kickoff does NOT organize, supervise, staff, referee, or control physical soccer matches or venues.

2. Express Assumption of Risk & Voluntary Participation

A. Inherent Hazards of Soccer

You acknowledge and agree that playing soccer/football is an active, vigorous contact sport that carries inherent, unavoidable risks of physical injury, serious bodily harm, permanent disability, paralysis, death, emotional distress, and property damage or loss. These risks arise from, but are not limited to:

Physical contact, collisions, kicks, tackles, and head injuries with other players;
Tripping, slipping, falling, or uneven playing surfaces, potholes, turf seams, wet grass, sprinkler heads, or obstacles;
Contact with goalposts, nets, balls, fencing, benches, or field equipment;
Environmental and weather hazards, including extreme heat, dehydration, cold, rain, mud, lightning, or poor lighting;
Inadequate or delayed medical response, lack of first aid supplies, or absence of certified personnel.

B. Voluntary Assumption

YOU EXPRESSLY, KNOWINGLY, AND VOLUNTARILY ASSUME ALL RISKS, BOTH KNOWN AND UNKNOWN, ASSOCIATED WITH YOUR PARTICIPATION IN ANY PICKUP SOCCER GAME, MATCH, PRACTICE, OR ACTIVITY DISCOVERED, ORGANIZED, SCHEDULED, OR COORDINATED THROUGH THE SERVICE, EVEN IF ARISING FROM THE NEGLIGENCE OF OTHERS OR VENUE DEFECTS.

3. Comprehensive Release and Waiver of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU, ON BEHALF OF YOURSELF, YOUR HEIRS, EXECUTORS, ADMINISTRATORS, ASSIGNS, AND NEXT OF KIN, HEREBY FOREVER RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE KICKOFF, ITS DEVELOPERS, CREATORS, OPERATORS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, LIABILITIES, CAUSES OF ACTION, LAWSUITS, ARBITRATIONS, DAMAGES, JUDGMENTS, COSTS, OR EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

Personal Injury, Illness, or Death: Any physical injury, concussion, cardiovascular event, illness, or death sustained before, during, or after any game or session arranged via the Service;
Property Loss or Damage: Theft, damage, loss, or destruction of any personal property, vehicles, soccer equipment, or valuables at any venue or field;
Venue & Pitch Conditions: Any hazards, defects, lack of permits, locked gates, poor lighting, or dangerous conditions at any public or private park, pitch, field, or facility;
Third-Party & Player Misconduct: Any intentional, reckless, negligent, or criminal acts, physical altercations, assaults, batteries, harassment, or verbal disputes committed by other players, organizers, spectators, or third parties;
Transportation: Travel to and from any match, field, or venue;
Software Failure or Accuracy: Any errors, cancellations, scheduling inaccuracies, squad merge outcomes, MVP voting results, server downtime, or loss of game data.

4. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, fees, and penalties (including reasonable attorneys’ fees and legal costs) arising out of or related to:

Your participation in any game or event organized or joined via the Service;
Your creation or hosting of any session, including failure to obtain necessary field permits or follow local laws;
Your violation of these Terms or applicable laws and regulations;
Any dispute or altercation between you and another user, player, or field owner;
Any injury or property damage caused or contributed to by your actions or negligence.

5. Medical Fitness & Disclaimer

You represent and warrant that you are in good physical health and have no medical conditions that would make participating in strenuous soccer activities hazardous. You are solely responsible for consulting with a qualified healthcare professional before engaging in physical sports activities. Kickoff provides no medical advice, training guidelines, or emergency services.

6. Venues, Permits, and Local Regulations

Kickoff does not own, lease, inspect, verify, or permit any soccer pitch or venue listed in the app. Game creators and attendees are solely responsible for:

Verifying the legality, safety, and availability of the chosen field;
Obtaining any required municipal or private permits, licenses, or rental agreements;
Complying with all local park rules, operating hours, and municipal ordinances.

7. User Accounts & Off-Platform Conduct

Eligibility: You must be at least 13 years old (or 18 where required by law) to use Kickoff.
Account Security: You are responsible for safeguarding your login credentials.
Prohibited Conduct: You agree not to engage in harassment, hate speech, abusive communication, fraudulent sessions, unauthorized commercial solicitation, or disruption of other users’ games.
Termination: We reserve the right to suspend or permanently terminate accounts that violate community safety or these Terms without prior notice or liability.

8. Kickoff Premium Subscriptions & In-App Purchases

Subscription Tier: Kickoff Premium is available as a monthly auto-renewing subscription ($2.99/month USD, subject to regional currency conversion).
Billing & Renewal: Payment is billed through your Apple App Store or Google Play account upon purchase confirmation and will automatically renew unless cancelled at least 24 hours prior to the expiration of the current billing cycle.
Cancellation: You can manage and cancel your subscription anytime via your Apple App Store or Google Play account settings.
No Refunds by Kickoff: All refunds and billing disputes are governed exclusively by Apple’s or Google’s respective store policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
ANY WARRANTY REGARDING SYSTEM UPTIME, ERROR-FREE OPERATION, DATA ACCURACY, OR SERVER AVAILABILITY;
ANY WARRANTY REGARDING THE QUALITY, SAFETY, SKILL LEVEL, OR INTEGRITY OF ANY MATCH, PLAYER, ORGANIZER, OR VENUE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, PAIN AND SUFFERING, OR MEDICAL EXPENSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE OR YOUR PARTICIPATION IN ANY SOCCER ACTIVITY, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO KICKOFF IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

11. Mandatory Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or any soccer activities coordinated via the Service shall be settled by binding individual arbitration administered in accordance with standard commercial arbitration rules, rather than in court.
Waiver of Jury Trial: YOU AND KICKOFF WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.
Class Action Waiver: ALL CLAIMS AND DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE BASIS. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST KICKOFF ONLY IN YOUR INDIVIDUAL CAPACITY.

12. Governing Law & Severability

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of the developer, without regard to its conflict of law principles. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

13. Modifications to Terms

We reserve the right to revise or update these Terms at any time. Continued use of the Service after any changes constitutes your binding acceptance of the updated Terms.
